Terms and Conditions of Sale

These Terms and Conditions of Sale (”Terms of Sale”) govern the sale of all products (”Products”) and services (”Services”) provided by Sunrose Branding, LLC (”Sunrose Branding,” “we,” “our,” or “us”).

These Terms apply to all quotations, estimates, proposals, statements of work, purchase orders accepted by Sunrose Branding, invoices, production orders, and transactions unless otherwise agreed in a written agreement signed by both parties.

By approving a quotation, accepting a proposal, issuing a purchase order accepted by Sunrose Branding, placing an order, making payment, or authorizing production, you agree to these Terms.

  • Related Products and Services

Services may vary by project and are subject to the applicable proposal or agreement.

Quotations & Proposals

Unless otherwise stated in writing:

  • Quotations and proposals are provided for informational purposes only.
  • Pricing is subject to change until accepted.
  • Quotations may expire on the stated expiration date or, if no date is stated, after thirty (30) calendar days.
  • Acceptance does not guarantee inventory availability or production capacity.

Projects may require additional review before final acceptance.

Orders

An order becomes binding only after acceptance by Sunrose Branding. We reserve the right to decline or cancel any order before production begins for legitimate business reasons, including pricing errors, supplier availability, legal concerns, suspected fraud, or force majeure events.

Client Responsibilities

Clients are responsible for providing:

  • Accurate contact information
  • Complete project specifications
  • Approved artwork
  • Accurate spelling, grammar, and factual information
  • Required licenses or permissions
  • Timely approvals
  • Information necessary to complete the project

Production delays caused by incomplete information or delayed approvals may affect delivery schedules.

Artwork Approval

Clients are responsible for carefully reviewing all proofs, mockups, layouts, renderings, and production approvals before granting final authorization. Approval confirms that the client has reviewed and accepted all visible content, including:

  • Spelling
  • Grammar
  • Layout
  • Dimensions
  • Colors
  • Placement
  • Quantities
  • Product selections
  • Specifications

Once production begins, changes may no longer be possible and additional charges may apply.

Product Specifications

Product photographs, digital renderings, mockups, colors, dimensions, finishes, and samples are intended as reasonable representations. Actual Products may vary due to:

  • Manufacturing processes
  • Material availability
  • Screen settings
  • Decoration methods
  • Production tolerances
  • Supplier specifications

Minor variations do not constitute defects.

Pricing

Pricing is based upon information available at the time of quotation. Prices may change prior to order acceptance due to changes in:

  • Material costs
  • Supplier pricing
  • Freight
  • Tariffs
  • Production costs
  • Government fees
  • Currency fluctuations
  • Client-requested revisions

Approved orders will follow the pricing reflected in the accepted quotation unless otherwise agreed.

Taxes

Unless specifically stated otherwise, prices do not include:

  • Sales tax
  • Use tax
  • Value-added tax
  • Duties
  • Customs fees
  • Government assessments
  • Similar charges

Applicable taxes and fees will be added where required by law. Clients claiming tax-exempt status are responsible for providing valid documentation before invoicing.

Production

Estimated production schedules begin only after all required conditions have been satisfied, including:

  • Final artwork approval
  • Receipt of required deposits
  • Complete project specifications
  • Confirmation of inventory availability

Estimated production dates are not guaranteed unless expressly agreed in writing.

Shipping & Delivery

Shipping dates are estimates only. Sunrose Branding is not responsible for delays caused by:

  • Carriers
  • Weather
  • Customs
  • Supplier delays
  • Labor disruptions
  • Government actions
  • Force majeure
  • Circumstances beyond our reasonable control

Risk of loss transfers according to the agreed shipping terms. Additional information is provided in our Shipping and Fulfillment Policy.

Changes & Additional Work

Client-requested changes after project approval may require:

  • Revised pricing
  • Extended production schedules
  • Additional approvals
  • New estimates

Additional work outside the original project scope may be billed separately.

Cancellations

Cancellation requests must be submitted in writing. Because many Products are custom manufactured, cancellations may result in charges for:

  • Design work completed
  • Materials ordered
  • Production completed
  • Vendor costs
  • Administrative expenses

Approved cancellations do not automatically qualify for refunds. Additional information is provided in our Refund, Returns and Cancellation Policy.

Intellectual Property

Each party retains ownership of its respective intellectual property. Client-owned trademarks, logos, artwork, and other materials remain the property of the client or applicable rights holder. Sunrose Branding retains ownership of its proprietary processes, systems, methodologies, software, templates, and pre-existing intellectual property unless otherwise agreed in writing. Ownership of custom creative work is governed by the applicable project agreement and our Artwork, Design and Intellectual Property Policy.

Confidentiality

Each party agrees to protect confidential information disclosed during the course of a project and to use such information only as reasonably necessary to perform the agreed Services, unless disclosure is required by law or authorized by the disclosing party.

Force Majeure

Sunrose Branding shall not be liable for delays or failure to perform caused by events beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Fire
  • Flood
  • Pandemic
  • War
  • Terrorism
  • Labor disputes
  • Government actions
  • Utility failures
  • Cybersecurity incidents
  • Transportation disruptions
  • Supplier interruptions

Performance will resume as reasonably practicable once the event has concluded.

Disclaimer

Sunrose Branding provides Products and Services using commercially reasonable care and professional judgment. Except as expressly stated in a written agreement, Products and Services are provided without additional warranties beyond those required by applicable law. Manufacturer warranties, if any, remain the responsibility of the applicable manufacturer.

Limitation of Liability

To the fullest extent permitted by law, Sunrose Branding shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from any Product, Service, or transaction. Where permitted by law, our aggregate liability relating to any claim shall not exceed the amount actually paid to Sunrose Branding for the specific Product or Service giving rise to the claim. Nothing in these Terms limits liability where prohibited by applicable law.

Governing Law

These Terms shall be governed by the laws of the State of California without regard to conflict of law principles. Unless otherwise required by law, disputes shall be resolved in a court of competent jurisdiction located within California.

Modifications

Sunrose Branding may update these Terms from time to time. The version in effect at the time an order is accepted will govern that transaction unless otherwise agreed in writing.

Our policies are designed to promote clarity, fairness, and consistency. They establish expectations for both Sunrose Branding and our clients while helping protect the interests of everyone involved. We periodically review and update our policies to reflect changes in our business, technology, and applicable laws.
